Welcome to Microgrid Broker. By accessing or using microgridbroker.com (the “Website”) and registering as an installer, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Website or services.
These Terms constitute a legally binding agreement between you (“Installer,” “you,” or “your”) and Microgrid Broker (“we,” “us,” or “our”).
Microgrid Broker operates as an intermediary connecting licensed electrical contractors with retail electric providers (REPs) and their customers for home battery backup system installations. Our services include:
To use our services, you must register and provide accurate, complete information. You acknowledge:
We reserve the right to suspend or terminate your account at any time for providing false or misleading information, violation of these Terms, poor performance or quality issues, failure to maintain required licenses or insurance, unprofessional conduct, or any reason at our sole discretion.
As a registered installer, you agree to maintain all required licenses, certifications, and insurance in good standing; complete all required brand-specific battery system training; perform installations according to manufacturer specifications, building codes, and industry standards; and conduct yourself professionally in all interactions.
You agree not to perform substandard or unsafe work; directly solicit customers obtained through Microgrid Broker for outside work; circumvent Microgrid Broker to contract directly with REPs or customers; share your account credentials; engage in fraudulent or deceptive practices; violate any applicable laws or regulations; or disparage Microgrid Broker, REPs, or other installers.
All installation contracts for participating REP programs are managed exclusively through Microgrid Broker. Installers may only receive job assignments through our platform. Direct contracting with REPs or customers for these specific programs without our involvement is prohibited.
Job assignments are at Microgrid Broker’s sole discretion. We consider factors including geographic location, availability, performance history, certifications, and capacity. Registration does not guarantee job assignments. You may accept or decline job offers.
Payment terms, rates, and schedules will be specified in individual job agreements or program agreements. We are not responsible for payment disputes between you and REPs unless we are acting as payment intermediary.
You are an independent contractor, not an employee, agent, or partner of Microgrid Broker. This agreement does not create a partnership, joint venture, or employment relationship.
Installers must complete brand-specific training for each battery system type. Training schedules and locations will be communicated through the platform. Certification must be maintained and renewed as required. Failure to complete required training may result in ineligibility for certain jobs. Training costs, if any, will be communicated in advance.
You will designate your service areas during registration. Service areas may be modified through your account settings. We do not guarantee exclusive territories — multiple installers may service the same geographic areas. We may limit the number of installers per geographic area; acceptance is competitive and based on qualifications and timing.
All content on our Website, including logos, trademarks, text, graphics, and software, is owned by Microgrid Broker or its licensors. You may not use our intellectual property without prior written consent.
You agree to keep confidential any proprietary information, trade secrets, customer data, pricing, or business strategies obtained through your relationship with Microgrid Broker, and to not use or disclose such information except as necessary to perform your services.
You agree not to directly solicit customers obtained through Microgrid Broker, recruit other installers away from our network, or use our platform to build competing business relationships. This non-solicitation provision survives termination of your account for 12 months.
You warrant that you possess all necessary licenses, skills, and qualifications; your work will comply with applicable codes and standards; you maintain adequate insurance coverage; and you will perform work in a professional and workmanlike manner.
Our website and services are provided “as is” and “as available” without warranties of any kind, express or implied. We disclaim all warranties including merchantability or fitness for a particular purpose, accuracy or completeness of information, uninterrupted or error-free service, and guaranteed job volume or income.
To the maximum extent permitted by law, Microgrid Broker shall not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; damages arising from your use or inability to use our services; or damages exceeding the amount paid to you in the 12 months prior to the claim. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Microgrid Broker, its officers, directors, employees, and partners from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from your violation of these Terms, your negligence or misconduct, your installation work, or your violation of any third-party rights.
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Texas. You and Microgrid Broker waive the right to trial by jury.
You must maintain the following insurance coverage at all times:
You must provide proof of insurance upon request and name Microgrid Broker as an additional insured on general liability policies.
You agree to comply with all applicable federal, state, and local laws, including electrical codes and building regulations, OSHA regulations, environmental regulations, consumer protection laws, tax laws, and employment laws for your own employees and subcontractors.
We reserve the right to conduct background checks, license verifications, and reference checks. By registering, you consent to such checks and authorize us to obtain information from licensing boards, courts, and other sources.
We may modify these Terms at any time. We will notify you of material changes via email or platform notification. Your continued use of our services after changes become effective constitutes your acceptance of the updated Terms.
Provisions that by their nature should survive termination will survive, including: confidentiality, indemnification, limitation of liability, and dispute resolution.
